These Terms are written for an international business service. Mandatory consumer, privacy and other statutory rights in your country continue to apply and are not excluded by these Terms where the law does not permit exclusion.
1. Agreement and eligibility
By creating an account, purchasing a subscription, accessing or using Wynsee, you agree to these Terms and our Privacy Policy. If you use Wynsee for a company or other organization, you represent that you have authority to bind that organization, and “you” includes that organization.
You must be legally capable of entering into this agreement. Wynsee is intended primarily for businesses and professionals and is not directed to children.
2. The service and your account
Wynsee provides search and AI visibility intelligence, website auditing, monitoring, competitive analysis, reporting and related software features. Available functionality, usage allowances and limits depend on your plan or a written custom agreement.
You must provide accurate account information, keep it reasonably current and protect your login credentials. You are responsible for activity under your account except to the extent caused by Wynsee's breach of applicable obligations. Notify us promptly if you believe your account has been compromised.
You may only submit websites, domains, content and data that you are authorized to use with Wynsee. You remain responsible for your content and for ensuring your use of the service complies with applicable law and third-party rights.
3. Trials, subscriptions, billing, cancellation and refunds
Prices, billing intervals, plan features and any applicable trial are shown at checkout or in the applicable order. Unless stated otherwise, paid subscriptions renew automatically for the selected billing interval until cancelled. You authorize our payment provider to charge applicable subscription fees and taxes using the payment method associated with your purchase.
The Starter plan may include a 7-day trial when offered at checkout. Growth and Executive plans do not include a trial unless Wynsee expressly states otherwise in writing or at checkout. If you start a Starter trial and do not cancel before the trial expires, the subscription automatically converts to the paid billing interval you selected and the payment method on file may be charged. If you cancel an unpaid Starter trial before it expires, the trial ends immediately, Wynsee service access ends immediately, and future renewal is stopped.
For paid subscriptions, you may request cancellation at any time. Cancellation stops future renewal according to the billing provider's processing rules and does not, by itself, create a right to a refund of fees already paid. Wynsee may separately set an effective date for ending paid service access. Where an effective access-cancellation date is set, paid access normally continues until that date or the applicable paid billing-period end unless immediate suspension or termination is required for security, abuse, non-payment, legal reasons or another permitted basis under these Terms.
Fees already paid are non-refundable except where a refund is required by applicable law, expressly stated at checkout, or approved by Wynsee in its discretion. Annual subscriptions are sold as annual commitments and are not prorated or refunded merely because you stop using the service or request cancellation before the annual term ends. The same principle applies to monthly fees already charged for a completed billing period.
Where applicable law requires a refund, remedy, cooling-off right, statutory guarantee or other non-waivable protection, Wynsee will honor that requirement. Any approved refund may be processed through our payment provider. A refund and service access are separate administrative actions; processing a refund does not necessarily determine the date on which access ends, and access may be disabled separately by Wynsee.
We may change pricing or plan structure prospectively. Where required, we will provide reasonable advance notice before a price change affects a renewal.
4. Acceptable use
You must not use Wynsee to violate law or third-party rights; scan or test systems without authorization; introduce malicious code; bypass security, rate limits, plan restrictions or access controls; interfere with the service or other users; obtain unauthorized access; scrape or extract the service in a manner that materially burdens infrastructure; impersonate others; use the service for fraud or abuse; or reverse engineer, decompile or attempt to discover non-public source code except where applicable law expressly permits such activity despite this restriction.
Reasonable automated use expressly provided by Wynsee features or authorized integrations is permitted subject to applicable plan limits.
5. Audit results, scores and recommendations
Wynsee provides diagnostic, analytical and informational outputs. Search-health scores, AI-readiness indicators, structured-data findings, competitive comparisons, recommendations, modeled impact ranges and forecasts are decision-support tools. They are not promises or guarantees of rankings, traffic, revenue, conversions, indexing, AI citations, inclusion or recommendations by Google, Bing, ChatGPT, Gemini or any other search engine, AI system or third-party platform.
Third-party platforms change independently of Wynsee. You are responsible for evaluating recommendations and deciding whether and how to implement them. Professional legal, financial, security or other specialist advice should be obtained where appropriate.
6. Intellectual property and customer content
Wynsee and its licensors retain all rights in the service, software, interfaces, branding, methodologies, documentation and original materials, excluding customer content. Subject to these Terms and payment of applicable fees, Wynsee grants you a limited, non-exclusive, non-transferable right to use the service during your subscription for your internal business purposes.
You retain ownership of content and data you submit to Wynsee. You grant Wynsee the rights reasonably necessary to host, process, reproduce and analyze that content solely to provide, secure, support and improve the service and as otherwise described in our Privacy Policy. We may use aggregated or de-identified information that does not identify you or an individual to analyze and improve Wynsee.
Feedback or suggestions you voluntarily provide may be used to improve Wynsee without an obligation to compensate you, provided we do not publicly identify you as the source without permission.
7. Third-party services
Wynsee may depend on or interoperate with third-party hosting, database, authentication, payment, email, analytics, search, AI or other services. Those services may have their own terms and privacy practices. Wynsee is not responsible for third-party products or platforms outside our reasonable control, but this does not limit obligations that applicable law imposes on Wynsee for our own acts or omissions.
8. Availability, maintenance and service changes
We aim to provide a reliable service but cannot promise uninterrupted or error-free operation. Maintenance, security events, provider outages, internet failures and other events may affect availability. We may modify, improve, replace or discontinue features. For material changes that substantially reduce paid core functionality, we will provide notice where reasonably practicable or where required by law.
9. Warranties and limitation of liability
To the maximum extent permitted by applicable law, Wynsee is provided on an “as available” basis and we disclaim implied warranties that may lawfully be disclaimed. We do not warrant that every audit will identify every issue or that implementation of a recommendation will produce a particular commercial result.
To the maximum extent permitted by law, Wynsee will not be liable for indirect, incidental, special, exemplary, punitive or consequential losses, or loss of profits, revenue, goodwill, anticipated savings or data, arising from use of or inability to use the service, third-party platform changes or reliance on analytical outputs.
Where liability may lawfully be limited, Wynsee's aggregate liability arising out of or relating to the service will not exceed the fees you paid to Wynsee for the affected service during the 12 months preceding the event giving rise to the claim. This limitation does not apply to liability that cannot legally be excluded or limited, including applicable statutory consumer guarantees, fraud, willful misconduct, or other liability where the governing law prohibits limitation.
10. Indemnity, suspension and termination
To the extent permitted by law, a business customer will indemnify Wynsee against third-party claims, losses and reasonable costs arising from that customer's unlawful use of the service, unauthorized scanning, infringement by customer-provided content, or material breach of these Terms, except to the extent caused by Wynsee.
We may suspend or restrict access when reasonably necessary to address security threats, abuse, non-payment, legal requirements or material violations of these Terms. Where appropriate, we will provide notice and an opportunity to remedy. We may terminate an account for material breach, repeated violations, unlawful use, or where continued provision is legally prohibited.
On termination, provisions that by their nature should survive—including payment obligations accrued before termination, intellectual property, disclaimers, liability limitations and dispute provisions—will continue to apply.
11. Governing law, disputes and local rights
Before starting formal proceedings, you and Wynsee agree to make a reasonable good-faith effort to resolve a dispute by contacting the other party. Contact hello@wynsee.ai with enough information for us to investigate.
Unless mandatory law requires otherwise, these Terms and disputes relating to them are governed by the laws applicable to Wynsee's principal place of business, without regard to conflict-of-law principles, and the competent courts there will have jurisdiction. We will update this clause with Wynsee's formal registered jurisdiction as the business structure is finalized.
If you are entitled to mandatory consumer protections in Australia, New Zealand, the UK, EU, a U.S. state or another jurisdiction, nothing in these Terms removes or restricts those non-waivable rights, remedies, statutory guarantees or regulator access. If a provision conflicts with mandatory law, it will apply only to the maximum extent legally permitted and the remainder of the Terms will continue in effect.
12. Changes and contact
We may update these Terms as Wynsee evolves. The current version will be posted here with a revised date. For material changes, we will provide additional notice where required by law or reasonably appropriate. Continuing to use the service after changes become effective constitutes acceptance only to the extent permitted by applicable law.
If any provision is held unenforceable, it will be limited or removed only to the minimum extent necessary and the remaining provisions will remain effective. Failure to enforce a provision is not a waiver. You may not transfer your account or this agreement without our consent except where applicable law permits otherwise; Wynsee may transfer the agreement in connection with a corporate reorganization, financing, merger or sale, subject to applicable law.
